These Terms of Service govern your access to and use of TechsGenius. By using our website, creating an account, or using any of our services, you agree to these Terms. Please read them alongside our Privacy Policy, Refund Policy and Disclaimer.

1. Acceptance of Terms

By using TechsGenius, you confirm that you have read, understood and agree to these Terms, together with our Privacy Policy, Refund Policy, Cookie Policy and Disclaimer, each of which is incorporated into these Terms by reference. If you are using our services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Definitions

• "Services" means our websites, dashboard, software, AI tools, calculators, free tools, and any digital marketing or agency services we provide.
• "Account" means a registered user profile on our platform.
• "Content" means any text, images, data, or other material made available through the Services.
• "User Content" means any material you submit, upload, or generate using the Services.
• "Subscription" means a paid plan granting access to specified features for a billing period.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use our Services. By using the Services you represent and warrant that you meet these requirements and that all information you provide is accurate and current.

4. Accounts & Registration

Some features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms. You may register on the primary TechsGenius platform, or be invited as a member of a specific client workspace; access is scoped accordingly.

5. Our Services

TechsGenius provides digital marketing and agency services — including SEO, paid advertising (PPC), social media, web design and development, email marketing, content marketing, video marketing, e-commerce marketing, and analytics — as well as a suite of AI-powered tools, financial calculators, and free utilities.

The scope, deliverables, timelines and fees for any agency engagement are defined in a separate proposal, statement of work, or order confirmation agreed between you and TechsGenius. Where such a document conflicts with these Terms, the specific terms of that document control for that engagement.

6. Subscriptions, Plans & Billing

We offer free and paid plans (such as Free, Pro and Agency tiers). Paid plans are billed in advance on a monthly or annual basis, as selected at checkout. Accepted payment methods may include Wise (bank transfer), credit card via Stripe, and manual or bank transfer arrangements.

• Subscriptions renew automatically for the same period unless cancelled before the renewal date, where auto-renewal applies to your plan.
• You authorise us (or our payment processors) to charge the applicable fees to your chosen payment method.
• We may change plan pricing or features on reasonable notice; changes take effect from your next billing cycle.
• Fees are exclusive of any taxes, levies or duties, which are your responsibility where applicable.
• Failure to pay may result in suspension or downgrade of paid features.

7. Refunds

Refunds are governed by our Refund Policy. Any performance-based guarantee we advertise (for example, a results-or-refund guarantee on certain engagements) applies only on the specific terms, conditions and timeframes stated for that offer and in the applicable statement of work. Free-tier usage and free tools are provided without charge and are not eligible for refunds.

8. AI Tools & Generated Content

Our AI tools generate content automatically based on the inputs you provide. You understand and agree that:

• AI-generated output may be inaccurate, incomplete, biased or otherwise unsuitable, and you are responsible for reviewing, editing and verifying it before any use.
• You are solely responsible for how you use AI-generated output, including ensuring it does not infringe third-party rights or violate any law.
• Subject to your compliance with these Terms and payment of applicable fees, you own the output you generate, to the extent such output is capable of ownership; we claim no ownership of your inputs or outputs.
• You must not use the AI tools to create unlawful, harmful, deceptive, infringing, or abusive content, or to generate spam or malware.
• Usage may be subject to credit, word, or rate limits depending on your plan.

AI output is provided "as is" without warranty of accuracy, originality or fitness for any particular purpose.

9. Free Tools & Calculators

Our free tools and financial calculators are provided for general informational and illustrative purposes only. They do not constitute financial, legal, tax, investment or professional advice. Results are estimates based on the inputs and assumptions provided and should not be relied upon for any decision without independent professional verification.

10. Acceptable Use

When using the Services, you agree not to:

• Violate any applicable law or regulation, or infringe the rights of others;
• Upload or transmit malware, or attempt to gain unauthorised access to our systems or other accounts;
• Reverse engineer, scrape, or copy the Services except as expressly permitted;
• Resell, sublicense or commercially exploit the Services without our written consent;
• Use the Services to generate spam, deceptive, defamatory, hateful, or sexually exploitative content;
• Interfere with or disrupt the integrity or performance of the Services;
• Misrepresent your identity or impersonate any person or entity.

We reserve the right to investigate and take appropriate action, including suspension or termination, against anyone who violates this section.

11. Intellectual Property

All rights, title and interest in the Services — including our website, software, branding, logos, design, and original content — are owned by TechsGenius or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose, subject to these Terms. No rights are granted except as expressly stated.

12. Your Content

You retain ownership of User Content you submit. By submitting User Content, you grant TechsGenius a worldwide, non-exclusive, royalty-free licence to host, store, process and display that content solely as necessary to provide and improve the Services. You represent that you have the rights to submit your User Content and that it does not violate any law or third-party right.

13. Third-Party Services

The Services may integrate with or link to third-party platforms (such as payment processors, advertising platforms, analytics providers and publishing services). We are not responsible for the content, policies or practices of any third party. Your use of third-party services is governed by their own terms.

14. No Guarantee of Results

Digital marketing outcomes depend on many factors outside our control, including search engine and platform algorithms, competition, market conditions and your own business. Except for any specific written guarantee stated in an applicable offer or statement of work, we do not guarantee particular rankings, traffic, leads, conversions, revenue or other results. Any statistics, case studies or examples shown are illustrative and not a promise of comparable results.

15. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the Services will meet your requirements or be available at all times.

16. Limitation of Liability

To the maximum extent permitted by law, TechsGenius and its team shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total aggregate liability for any claim shall not exceed the amount you paid to us for the relevant Service in the three (3) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless TechsGenius, its team and partners from any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising out of your use of the Services, your User Content, or your violation of these Terms or any law or third-party right.

18. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ends, though provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability and indemnification) will continue to apply.

19. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purpose of performing under these Terms or an applicable statement of work, except where disclosure is required by law.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where changes are material, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

21. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to its conflict-of-laws rules. You agree that the courts located in Dhaka, Bangladesh shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to any mandatory consumer-protection rights you may have in your country of residence. The parties will first attempt to resolve any dispute amicably through good-faith negotiation before commencing formal proceedings.
